2.3 Submission of an order does not constitute acceptance. Orders are confirmed only upon order confirmation from Mark Roberts.
2.4 The Company reserves the right to allocate inventory at its discretion, particularly during seasonal and high-demand periods.
3. Pricing & Payment
3.1 All prices are wholesale and confidential.
3.2 Pricing may be revised without prior notice.
3.3 Payment terms are established at account approval and must be strictly observed.
3.4 Failure to remit timely payment may result in:
*Immediate suspension of shipments
*Revocation of wholesale status
*Interest on overdue balances
4. Shipping & Risk of Loss
4.1 Shipping timelines are estimates and not guarantees.
4.2 Risk of loss transfers to retailer upon shipment from our warehouse.
4.3 Claims for damage, shortage, or discrepancy must be submitted in writing within five (5) business days of receipt.s
5. Returns & Claims
5.1 Due to the limited and collectible nature of our products, all sales are final unless expressly approved in writing.
5.2 Authorized returns may be subject to inspection and restocking fees.
5.3 Unauthorized returns will be refused.
6. Brand Stewardship & Presentation Standards
Mark Roberts products are collectible works of art and must be presented accordingly.
Authorized retailers agree to:
*Maintain a premium in-store and online presentation
*Display products in a manner consistent with brand standards
*Use only official imagery and descriptions provided by the Company
*Refrain from altering packaging, certificates, or product components
Products may not be repackaged, relabeled, bundled, or modified without prior written authorization.
7. Strict Reseller & Marketplace Control Policy
To preserve brand integrity, pricing stability, and authorized distribution, the following policies are mandatory and strictly enforced:
7.1 Authorized Sales Channels
Retailers may sell Mark Roberts products only through:
*Their own physical retail storefront(s)
*Their own branded e-commerce website(s)
Written authorization is required for any additional sales channel.
7.2 Prohibited Marketplaces
Without express written authorization, retailers are strictly prohibited from listing, marketing, or selling Mark Roberts products on:
*Third-party marketplaces (including but not limited to eBay and Walmart)
*Drop-shipping platforms
*Auction websites
*Flash-sale or discount marketplaces
*Social commerce platforms without prior approval
Unauthorized marketplace activity constitutes a material breach of these Terms.
7.3 Minimum Advertised Price (MAP)
If a MAP Policy is in effect:
*Retailers must adhere to all MAP guidelines
*Public advertising below MAP is strictly prohibited
*Violations may result in immediate account suspension
7.4 Online Presentation Requirements
Authorized online listings must:
*Use official brand images and descriptions only
*Preserve product naming conventions
*Avoid price-slashing language such as “clearance,” “blowout,” or “liquidation” unless authorized
*Maintain premium presentation consistent with brand standards
7.5 Enforcement
Mark Roberts actively monitors marketplace activity and distribution channels.
Violations may result in:
*Immediate suspension of shipments
*Permanent termination of wholesale account
*Refusal to fulfill pending or future orders
*Legal action where appropriate
No prior warning is required for enforcement action.
8. Intellectual Property
All trademarks, copyrighted materials, product designs, photography, packaging, and marketing materials are the exclusive property of Mark Roberts.
Retailers are granted a limited, revocable, non-transferable license to use approved materials solely for promoting authentic Mark Roberts products.
Unauthorized reproduction, distribution, or modification is strictly prohibited.
9. Limited Production & Allocation
Many Mark Roberts items are individually numbered and produced in strictly limited quantities.
The Company reserves the right to:
Limit quantities per retailer
Prioritize long-standing partners
Allocate inventory based on order history and compliance
10. Termination of Account
Mark Roberts may suspend or terminate a wholesale account immediately for:
*Breach of these Terms
*Unauthorized marketplace sales
*Failure to comply with payment terms
*Brand misrepresentation
Termination does not relieve retailer of outstanding financial obligations.
11. Limitation of Liability
To the fullest extent permitted by law:
*The Company shall not be liable for indirect, incidental, or consequential damages.
*Liability shall not exceed the amount paid for the specific product giving rise to the claim.
12. Force Majeure
Mark Roberts shall not be liable for delays or non-performance resulting from causes beyond reasonable control, including but not limited to:
* Supply chain disruptions
* Natural disasters
* Governmental actions
* Labor shortages
13. Governing Law
These Terms shall be governed by the laws of the State of California.
Any disputes shall be resolved exclusively in the state or federal courts located in California.
14. Modifications
Mark Roberts reserves the right to revise these Terms at any time. Continued access to the wholesale portal constitutes acceptance of any modifications.
